Scope
These terms apply to consulting, software development, software architecture, implementation services, project support, support and maintenance, and similar service engagements.
Contract conclusion
A contract is formed only through accepted offers, written confirmation, or the start of agreed service performance. Public website content is informational and does not itself create a contractual relationship.
Compensation and payment terms
Services may be billed hourly, time-and-material, fixed-price, or as a combined model, depending on the engagement. Specific payment terms are defined in the applicable offer or contract.
Customer obligations to cooperate
The customer must provide the information, access, and cooperation required for delivery. Delays or additional effort caused by missing cooperation may affect delivery timelines and cost.
Usage rights
Usage rights are defined in the applicable offer, contract, or project agreement. Unless agreed otherwise, rights are granted only for the agreed purpose after payment of the relevant services.
Data protection
Personal data is processed in accordance with applicable data protection law. If processing is carried out on behalf of a customer, a data processing agreement is used where required.
Right of withdrawal for consumers
Consumers may have a statutory right of withdrawal. This right may expire if performance begins with the consumer consent before the withdrawal period ends, where legally permitted.
Liability
Liability follows the standard structure for service engagements under German law, with unlimited liability for intent and gross negligence and limited liability for simple negligence where legally permitted.
Governing law and jurisdiction
German law applies. For merchants and companies, the place of jurisdiction is Hamburg, unless mandatory law provides otherwise.
